Securities & Futures Advisory Agreement

SERVICES: The Advisor agrees to provide securities & futures advisory services to the Client, which may include advice on listed securities.
Fee structure: In exchange for the services provided by the Consultant, the Client agrees to pay the Consultant a fee of 1% (excluding sales tax) or 1,000,000 of the portfolio value for 12 months, payable n six monthly basis.
Additionally, the Client agrees to pay 25% outperformance fee (excluding sales tax) above the agreed benchmark of 1 year KSE 100 Index or KMI30 returns on pre-tax basis. Performance fee will be calculated at year end & will not be adjustable against fixed fee.
TERM: This agreement shall commence on
and shall expire after one year.
CONFIDENTIALITY: The Consultant agrees to maintain full confidentiality of all information disclosed by the Client, including business and personal information, and shall not disclose any such information.
GOVERNING LAW: This agreement shall be governed by and construed in accordance with the laws of Pakistan, and any dispute arising out of or relating to this agreement shall be resolved in courts of Pakistan.
